Terms of Service
Effective Date: April 26, 2026 Last Updated: September 28, 2026
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE AN ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER (SECTION 15) THAT AFFECT HOW DISPUTES BETWEEN YOU AND UNPLUGGED COLLECTIVE ARE RESOLVED.
These Terms of Service ("Terms") are a legal agreement between you ("you") and Unplugged Collective, LLC ("Unplugged Collective," "we," "our," or "us"). They govern your access to and use of:
- unpluggedcollective.com and all subdomains;
- ucsocialstudio.com and all subdomains ("UC Social Studio");
- our Partner Portal and any other web applications we operate;
- our events, experiences, and programming, including ticketed and invitation-only events; and
- any content, services, or communications we provide in connection with the above (collectively, the "Services").
By accessing or using the Services, registering for an event, creating an account, or otherwise interacting with us, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
1. Who We Are
The Services are operated by Unplugged Collective, LLC, a limited liability company formed in Delaware. Our mailing address and contact information are set out in the Privacy Policy.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Services. By using the Services, you represent that (a) you meet the age requirement; (b) you have the legal capacity to enter into these Terms; and (c) your use of the Services complies with all applicable laws.
If you are using the Services on behalf of a company, organization, sponsor, or other entity, you represent that you are authorized to bind that entity to these Terms, and "you" includes that entity.
3. Accounts and Access
3.1 Creating an Account
Some parts of the Services (including UC Social Studio features that require sign-in, and the Partner Portal) require you to create an account or authenticate through a third-party identity provider such as LinkedIn. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at privacy@unpluggedcollective.com if you suspect unauthorized access. We are not liable for any loss arising from your failure to safeguard your credentials.
3.3 Partner Portal Users
If you are granted access to the Partner Portal as a representative of a sponsor, partner, or vendor, your access is limited to the records associated with your organization. You agree not to attempt to access data outside of your permitted scope, and you agree to use the Portal only for the purpose of managing your engagement with us.
Your organization's commercial relationship with Unplugged Collective (including sponsorship rights, deliverables, payments, exclusivity, brand usage, and other commercial terms) is governed by a separate sponsorship or partnership agreement between Unplugged Collective and your organization. These Terms do not modify, replace, or supersede that separate agreement. In the event of any conflict between these Terms and your organization's sponsorship or partnership agreement with respect to that commercial relationship, the separate agreement will control.
4. Events, Registration, and Attendance
4.1 Registration Is a Request, Not a Guaranteed Ticket
Unplugged Collective events are curated. Registering for an event through Luma or any other channel we operate is a request to attend, not a guaranteed ticket or promise of admission. We reserve the right, in our sole discretion and for any reason, to cap capacity, curate the guest list, decline registrations, revoke registrations, move registrants to a waitlist, and deny entry, including at the door. Confirmation that you are registered does not by itself guarantee admission to an event.
4.2 Free Events Have No Monetary Value
Most Unplugged Collective events are offered to individual attendees at no cost. They are funded by our sponsors and partners. Because no monetary consideration is paid by you for admission, a registration, invitation, or confirmation for a free event:
- Has no monetary or cash-equivalent value;
- Is not a ticket, voucher, gift card, or other instrument redeemable for money or goods;
- May not be resold, exchanged, transferred, or assigned (see Section 4.7);
- Creates no refund obligation or reimbursement right in the event of cancellation, postponement, reduction in scope, or denial of entry.
If you incur travel, lodging, or other costs in connection with attending an Unplugged Collective event, those costs are your responsibility. We are not liable for any such costs if an event is changed, postponed, or cancelled, regardless of the reason.
4.3 Paid Events
Where an Unplugged Collective event carries a ticket fee, the price, refund policy, and any additional terms will be disclosed at the point of purchase and will apply to that event in addition to these Terms. If those event-specific terms conflict with these Terms, the event-specific terms will control for that event.
4.4 Conduct at Events
Events are professional gatherings. You agree to:
- Treat fellow attendees, speakers, sponsors, staff, and venue personnel with respect;
- Comply with all venue rules, local laws, and reasonable instructions from our team;
- Not engage in harassment, discrimination, intimidation, or behavior that is disruptive, unsafe, or that interferes with the event experience;
- Not solicit other attendees for purposes that are not consistent with the program;
- Not bring weapons, illegal substances, or prohibited items into the venue;
- Drink responsibly where alcohol is served, comply with all applicable laws, and observe the legal drinking age (which is 21 in the United States). Unplugged Collective reserves the right to refuse alcohol service to any attendee.
We reserve the right to refuse entry or remove any person who violates these standards, without any refund, credit, or other compensation.
4.5 Cancellations, Changes, and Force Majeure
We may change, postpone, or cancel any event or program, in whole or in part, for any reason, including without limitation venue issues, weather, illness, public-health events, regulatory actions, safety concerns, sponsor changes, or other circumstances beyond our reasonable control. Where we do so, we will make reasonable efforts to notify affected registrants. For free events, you acknowledge that we have no obligation to refund, reimburse, or compensate you in connection with any such change, postponement, or cancellation. For paid events, our refund obligations (if any) are as stated at the point of purchase.
4.6 Photography, Video, and Content Capture
By attending an Unplugged Collective event, you acknowledge and agree that your image, likeness, and voice may be photographed, filmed, and/or audio-recorded, and that Unplugged Collective and our partners may use that content in connection with our business, including for editorial content (such as The Contextual Clipper and Cannesversations), event recaps, social media, and marketing, in any media now known or later developed, in perpetuity, without further notice, approval, or compensation. Cannesversations and similar interview formats involve deliberate on-camera recording for publication. If you do not wish to be captured in general event coverage, please notify our on-site team and we will make reasonable efforts to accommodate your request. See our Privacy Policy for more detail.
4.7 Non-Transferability
Registrations and invitations are personal to the registrant and may not be transferred, resold, exchanged, reassigned, or otherwise conveyed to another person without our prior written consent. Using another person's registration or invitation to gain entry is not permitted and may result in denial of entry.
4.8 Assumption of Risk
Attendance at an Unplugged Collective event is voluntary and at your own risk. You acknowledge that live events involve inherent risks, including without limitation:
- Risks associated with travel to and from the venue;
- Risks associated with the venue itself, including floors, stairs, balconies, pools, waterfronts, rooftops, outdoor areas, lighting, and crowd conditions;
- Risks associated with consumption of food and alcohol, including allergic reactions and the effects of alcohol;
- Risks associated with interactions among attendees, speakers, sponsors, and third parties;
- Risks associated with illness, communicable disease, and public-health conditions.
You assume full responsibility for these and all other risks associated with your attendance, and you agree to exercise reasonable care for your own safety.
4.9 Release
To the fullest extent permitted by law, you release, waive, and discharge Unplugged Collective, its officers, directors, employees, members, agents, sponsors, partners, and venues from any and all claims, demands, causes of action, damages, and losses arising out of or in connection with your attendance at or participation in any Unplugged Collective event, including without limitation any injury, illness, loss, or damage to person or property, except to the extent caused by the gross negligence or willful misconduct of the released party and not otherwise excluded by applicable law. This release is intended to be as broad and inclusive as permitted by law.
You are responsible for maintaining your own health, travel, and personal-property insurance appropriate to your attendance.
5. UC Social Studio
5.1 What UC Social Studio Is
UC Social Studio is a web-based tool that allows eligible users (typically event guests, speakers, and partners) to generate personalized share graphics and social copy tied to Unplugged Collective events and, at your direction, publish posts to LinkedIn. Use of UC Social Studio is subject to these Terms.
5.2 LinkedIn Authentication
If you sign in with LinkedIn, you authorize us to receive and use basic profile information (such as your name, email address, and profile photo) and, if you choose to post, to publish on your behalf using the access LinkedIn grants us. We only publish to LinkedIn when you choose to. Your relationship with LinkedIn is governed by LinkedIn's own terms; we do not control what LinkedIn does with data on its platform.
5.3 User Content
If you upload or otherwise submit images, photos, copy, logos, or other materials to UC Social Studio or to any part of the Services ("User Content"), you represent and warrant that:
- You own the User Content, or you have all necessary rights, licenses, and permissions to submit it and to grant the license below;
- The User Content does not infringe any third-party intellectual property, privacy, publicity, or other right;
- The User Content is not unlawful, defamatory, harassing, discriminatory, sexually explicit, harmful, deceptive, or otherwise objectionable.
You grant Unplugged Collective a non-exclusive, royalty-free, worldwide, sublicensable license to host, store, reproduce, modify, display, and distribute the User Content solely to operate and improve the Services (for example, to render your social-share card, to let you preview and share it, and to allow you to publish it to LinkedIn). You retain ownership of your User Content.
5.4 Acceptable Use of Social Studio
You agree not to:
- Use Social Studio to impersonate another person or misrepresent your affiliation;
- Upload images, logos, or other assets you do not have the right to use;
- Generate or publish content that violates LinkedIn's terms or applicable law;
- Reverse-engineer, scrape, or otherwise attempt to extract data from Social Studio beyond what is intended by the user interface;
- Use the tool in a way that attempts to spam, mislead, or harm third parties.
5.5 Copyright Infringement and DMCA Notices
Unplugged Collective respects intellectual property rights and expects users of the Services to do the same. If you believe that content available through the Services infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act ("DMCA") to our designated agent:
DMCA Agent Unplugged Collective, LLC 2810 N Church St, PMB 247936 Wilmington, Delaware 19802-4447 United States Email: legal@unpluggedcollective.com
Your notice must include:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material (e.g., a URL);
- Your contact information, including name, address, telephone number, and email address;
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.
We may remove or disable access to content that is the subject of a valid DMCA notice and may terminate the accounts of repeat infringers in appropriate circumstances.
6. SMS / Text Messaging Terms
By providing your phone number when you register for an event, create a UC Social Studio session, or otherwise submit it to us, you agree that we and our service providers may send you text messages related to that activity, including registration confirmations, event updates, check-in details, logistical changes, verification codes, and other operational notices.
- Message frequency varies based on your activity with us.
- Message and data rates may apply. We are not responsible for carrier charges.
- You can opt out at any time by replying STOP. For help, reply HELP or email privacy@unpluggedcollective.com.
We do not send marketing SMS based on event registration alone and do not share your phone number with third parties for their own marketing.
7. Privacy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy, available at unpluggedcollective.com/privacy-policy. The Privacy Policy is incorporated into these Terms by reference.
8. Intellectual Property
8.1 Our Content
The Services, including their text, graphics, logos, icons, images, audio, video, software, and the overall look and feel, are owned by Unplugged Collective or our licensors and are protected by intellectual property laws. "Unplugged Collective," "Strangers No More," "CTRL+ALT+Culture," "ConvHERgence," "The Contextual Clipper," "Cannesversations," "The Supper Club," "The Unplugged Studio," "The Pavilion," "UC Social Studio," and related names, logos, and designs are trademarks of Unplugged Collective.
8.2 Limited License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use and, where applicable, for the business purpose for which we granted you access (for example, to manage your sponsor activations through the Partner Portal). All rights not expressly granted are reserved.
8.3 Restrictions
You agree not to:
- Copy, modify, distribute, sell, lease, or create derivative works based on the Services or our content, except as expressly permitted;
- Reverse-engineer, decompile, or attempt to derive the source code of any software component of the Services, except to the extent applicable law expressly prohibits this restriction;
- Scrape, crawl, or use automated means to extract data from the Services;
- Use the Services to build a competing product;
- Remove or alter any copyright, trademark, or other proprietary notices.
8.4 Feedback
If you send us suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback without obligation to you.
9. Third-Party Services, Venues, and Sponsors
The Services may link to, integrate with, or otherwise involve third-party products, services, venues, sponsors, or partners, including Luma, Wix, Vercel, Supabase, LinkedIn, MailerLite, Resend, Twilio, Google, and event venues. We do not control those third parties, and your interactions with them (including any purchases, registrations, or on-site activities) are governed by their own terms and privacy practices. We are not responsible for the acts, omissions, or content of third parties.
10. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation;
- Infringe anyone's intellectual property, privacy, or publicity rights;
- Harass, threaten, defame, or discriminate against others;
- Post or transmit any unlawful, obscene, harmful, or misleading content;
- Transmit any virus, malware, or other harmful code;
- Interfere with, disrupt, or impose an unreasonable load on the Services or their infrastructure;
- Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems;
- Use the Services to send unsolicited commercial messages.
We may investigate and take appropriate action, including removing content, suspending accounts, terminating access, and reporting to authorities, for any suspected violation.
11. Suspension and Termination
We may suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 4.6, 4.8, 4.9, 5.3, 8, 12, 13, 14, 15, 16, 17, and 18) will survive.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. UNPLUGGED COLLECTIVE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any information obtained through the Services is accurate or reliable. Your use of the Services is at your own risk.
Attendance at any event is at your own risk. We are not responsible for injuries, losses, or damages sustained at or in connection with an event, except to the extent caused by our gross negligence or willful misconduct and not otherwise excluded by applicable law.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UNPLUGGED COLLECTIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UNPLUGGED COLLECTIVE, IF ANY, IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, these limitations apply to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Unplugged Collective and its officers, directors, employees, members, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right; or (e) your conduct at an event.
15. Dispute Resolution; Arbitration; Class-Action Waiver
15.1 Informal Resolution
Before filing any formal dispute, you agree to first contact us at legal@unpluggedcollective.com with a written description of the dispute and to attempt in good faith to resolve it informally for at least 30 days.
15.2 Binding Arbitration
If we cannot resolve the dispute informally, you and Unplugged Collective agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved by final and binding individual arbitration administered by JAMS under its applicable rules, and not in a court of law, except that either party may (a) bring an individual claim in small-claims court within its jurisdictional limits and (b) seek injunctive or equitable relief in court to protect intellectual property rights. The arbitration will take place in New York, New York, or by remote means if the parties agree. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
15.3 Class-Action Waiver
YOU AND UNPLUGGED COLLECTIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
15.4 Opt-Out
You may opt out of the arbitration agreement in Section 15 by emailing legal@unpluggedcollective.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your full name and email address used with the Services. Opting out of arbitration will not affect any other part of these Terms.
15.5 Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to Section 15.2, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Kings County, New York, and you consent to the personal jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date above and, for material changes, provide reasonable notice (for example, by posting a notice on our site or, where appropriate, by email). Your continued use of the Services after an update constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, stop using the Services.
17. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any event-specific terms disclosed at the point of purchase or registration, constitute the entire agreement between you and Unplugged Collective regarding the Services.
Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any right or provision will not be a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Notices. We may send notices to you by email, by posting on the Services, or by other reasonable means. You must send notices to us at legal@unpluggedcollective.com and to our mailing address in the Privacy Policy.
No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
Headings. Headings are for convenience only and do not affect interpretation.
